SISTER SCHOOLS looks for new Board members (chair & secretary)
As Independent Chairperson, you will provide leadership to the Sister Schools Foundation Supervisory Board, now consisting of a Dutch teacher, a financial specialist and a Kenyan ICT expert.
You bring an appreciation and understanding of International networks and funding possibilities and are aligned with our mission and values.
Furthermore our preferred candidate:
– Leads strategically and pro-actively and builds relationships across the community
– Ensures healthy governance and oversees the work of the organisation, guides policy development and large-scale decision-making
– Helps explore funding opportunities to ensure financial stability for operating costs and has active participation in fundraising campaigns
– Challenges innovation and acts as a trusted advisor to the foundation community
– Serves as an ambassador with stakeholders within the society
– Chairs meetings of the Supervisory Board, sensitively, and efficiently, bringing impartiality and objectivity to the decision-making process
– Reviews financial statements and approves budget plans
– Supports the planning for succession and growth
This is a voluntary role, therefore a salary or stipend will not be payable; however reasonable expenses will be paid in accordance. We also expect that the applicant has the acceptance of the legal duties, responsibilities, liabilities that supervisory board members are required to follow.
Time Commitment:
There are approximately 4 – 6 board meetings per year. Meetings are expected to take place outside of usual business hours and take no more than half a day. To help the organisation grow and stabilise an approximate of 2-4 hours a week work is needed.
The Independent Chair is expected to serve for a two-year period and will be eligible for re-appointment for one additional term.
Applicants Background:
Preference will be given to applicants with experience in the fields of Strategic Planning, (Internationalisation of) Education & Digital Innovation, Finance & Fundraising. As our board secretary, you will provide support to the Board Chair and other Board members, of the Sister Schools Foundation Supervisory Board, now consisting of a Dutch teacher, a financial specialist and a Kenyan ICT expert.
You bring an appreciation and understanding of (online) meeting and agenda setting and are aligned with our mission and values.
Furthermore our preferred candidate:
– Supports the Chair to ensure healthy governance, calls attention to policies and procedures during board meetings and decision-making processes to ensure that the board is transparent, ethical, and compliant.
– Responsible for documenting the Board’s meetings and preparing minutes, including discussion topics and deliberations.
– Retains foundation records in an organized and transparent register.
– Oversees members’ list, keeping their updated contacts and being the main point of communication to them.
– Keeps track of board members’ terms and warns the Chair and leadership of upcoming terms expiring to ensure the successful rotation of board members.
– Serves as an ambassador with stakeholders within the society
In addition to attending board meetings, depending on your capacity and interests, this might involve leading projects, sitting on Board sub-committees or contributing to specific areas of work like fundraising or communications.
